Acceptance of these terms
BuyerPass is operated by BuyerPass LLC, a Georgia limited liability company. By accessing or using BuyerPass, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the platform. Our contact and mailing details appear at the end of these terms.
What BuyerPass provides
BuyerPass is a technology platform. It is not a party to any acquisition transaction merely because the platform is used, and it does not broker, negotiate, or complete a transaction. BuyerPass does not provide financial, legal, tax, or investment advice.
The platform supports:
- BuyerPass Profiles and Acquisition Criteria for acquisition buyers.
- Opportunity matching, interest management, and matched buyer profiles.
- Opportunity-specific invitations from deal owners.
- Proof of Funds, name, and institutional verification, completed when a deal owner or the workflow requires it for a specific opportunity.
Eligibility and authority
- You must be at least 18 years old to use BuyerPass.
- You must be legally able to enter into these terms and use the service for legitimate business-acquisition activity.
- If you use BuyerPass on behalf of an organization, you represent that you have authority to bind that organization to these terms.
- You may not use BuyerPass if you are a sanctioned person or entity, or are located in a jurisdiction subject to comprehensive sanctions, and you may not use BuyerPass in violation of applicable United States export-control or economic-sanctions laws (including those administered by OFAC). BuyerPass is currently focused on United States business-acquisition activity.
Accounts and security
- You must provide accurate information and keep it current.
- You are responsible for safeguarding your credentials and for activity that occurs under your account.
- You must not share your account or allow others to use your credentials.
- Notify us promptly of any unauthorized use of your account.
Buyer profiles, Match Score, and Strength
A BuyerPass Profile is a reusable summary of a buyer's background and Acquisition Criteria. You are responsible for the accuracy of your profile. Presenting a profile you know to be inaccurate or misleading is a violation of these terms.
Match Scoreis a fit signal estimating how well an opportunity aligns with a buyer's Acquisition Criteria. It is not a recommendation, endorsement, guarantee, or proof of funds. BuyerPass Strengthmeasures how complete and ready a profile is; it is not a measure of a buyer's finances. Neither signal guarantees any outcome.
Opportunities, invitations, and visibility
Deal owners are responsible for the opportunities and listing details they publish, and for having the rights needed to publish them. A deal owner controls whether an opportunity is private or public. Public listings may be visible to anyone and indexed by search engines; private and draft opportunities are not publicly accessible.
Invitations are opportunity-specific and are not a general marketing channel. If you invite someone to a specific opportunity, you represent that you are authorized to contact that recipient, that the invitation relates to that opportunity, and that you will comply with applicable anti-spam and marketing laws. BuyerPass may limit, suspend, or remove invitation access if invitations are used for unsolicited or unauthorized outreach.
Verification and Plaid
Proof of Funds Verification indicates whether a buyer met an opportunity's stated requirement at a point in time based on available information. It is not loan approval, investment advice, a valuation, or a guarantee of financing or transaction completion.
Verification is completed by connecting financial accounts through Plaid, and may also involve name verification and, for institutional buyers, an alternative review of institution information and supporting documents you choose to provide. You authorize BuyerPass and Plaid to access account information, including balances and account-holder name information, solely to produce a verification outcome and perform name verification. A completed verification reflects a point in time and shows a freshness indicator, and a deal owner may request a more recent verification for their opportunity.
You are responsible for the accuracy of the accounts, information, and documents you provide. Deal owners receive only a limited verification outcome, not your balances, account numbers, institutions, statements, or underlying documents.
Your content and license
You retain ownership of the listings, profiles, Acquisition Criteria, messages, documents, and other content you submit. BuyerPass does not claim ownership of buyer, broker, or seller content.
You grant BuyerPass a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, process, transmit, and display your content, and to distribute it where you have chosen public or shared visibility, in each case solely as reasonably necessary to operate, secure, support, and improve the service. This license respects your public and private opportunity settings and ends when your content is removed, except for copies retained as described in our Privacy Policy or required by law.
You are responsible for having the rights needed to submit your content.
Plans, billing, and verification charges
Acquisition buyers use BuyerPass for free. Paid plans apply to deal-owner organizations. Paid plans receive full matched buyer profiles automatically when the applicable requirements are met, and the Starter plan includes three matched buyer profiles per month. Higher plans raise limits such as active listings, team seats, and included verifications. See the Pricing page for current plans and rates.
Verification charges.Only completed Proof of Funds Verifications count toward your monthly allowance; sending an opportunity invitation does not consume verification capacity. Verifications beyond your included allowance are billed at your plan's per-verification rate. An organization may enable Automatic Verification Billing so that verifications beyond the included allowance proceed without pausing the workflow and are billed at that rate.
Payment authorization. By subscribing to a paid plan or enabling verification charges, you authorize BuyerPass and its payment processor to charge your payment method on a recurring basis for subscription fees and for applicable verification and overage charges, plus any applicable taxes.
Renewal. Paid subscriptions automatically renew for successive billing periods according to their billing cycle unless canceled before the end of the current period. We may provide renewal notices where required by applicable law.
Cancellation. You may cancel a paid plan at any time. Cancellation takes effect at the end of the current paid billing period, and you retain applicable paid access through the end of that already-paid period, subject to these terms. Cancellation does not result in a prorated refund except where required by applicable law.
Refunds. Except where required by applicable law, fees are non-refundable, including subscription fees and completed verification and overage charges.
Failed payments. If a payment fails, BuyerPass may retry the charge, request an updated payment method, and restrict, suspend, downgrade, or terminate affected paid functionality where appropriate. You remain responsible for amounts owed.
Taxes.Fees are exclusive of taxes. You are responsible for any applicable sales, use, VAT, GST, or similar taxes, other than taxes based on BuyerPass's net income.
Acceptable use
You agree not to:
- Misrepresent your identity, financial capacity, or acquisition intent.
- Invite or contact people you are not authorized to contact, or send unsolicited bulk messages.
- Attempt to access another user's data or circumvent profile-access controls or other platform controls.
- Use the platform for any unlawful purpose or in violation of these terms.
- Interfere with or disrupt the integrity or performance of the service.
- Scrape, reverse engineer, or misuse the platform except as permitted by applicable law.
Third-party services
BuyerPass relies on third-party services, such as Plaid for financial-account connections and Stripe for payments, to provide the platform. Your use of those services may also be governed by the third party's own terms and privacy notices. BuyerPass is not responsible for third-party services it does not control. A list of the providers we use is available on our Subprocessors page.
Disclaimers and no guarantees
To the fullest extent permitted by law, BuyerPass is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Without limiting the above, BuyerPass does not warrant or guarantee that:
- any transaction, financing arrangement, or other outcome will occur;
- any buyer, broker, or seller will perform or is suitable for a transaction;
- seller or listing information is complete or accurate, as BuyerPass does not independently verify all of it;
- the service will be uninterrupted, secure, or error-free.
A Match Score is a fit signal, not a recommendation or endorsement. BuyerPass Strength measures profile completeness and readiness, not finances. Proof of Funds Verification is a limited, point-in-time qualification against an opportunity's requirement, and institutional verification is a limited review process. A verification outcome is not an endorsement of any party.
Limitation of liability
To the fullest extent permitted by law, BuyerPass and its affiliates and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of the platform, even if advised of the possibility of such damages.
To the fullest extent permitted by law, BuyerPass's total aggregate liability arising out of or relating to the platform or these terms will not exceed the greater of (a) the total fees you paid to BuyerPass in the twelve months immediately preceding the event giving rise to the claim, or (b) for users who have not paid fees to BuyerPass, one hundred United States dollars (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
Indemnification
To the extent permitted by law, you will indemnify and hold harmless BuyerPass LLC and its affiliates and their personnel from and against any claims, damages, liabilities, and reasonable expenses (including reasonable attorneys' fees) arising out of or relating to: your misuse of the platform; the content or information you submit; your violation of applicable law; any infringement of a third party's rights caused by content you submit; or your breach of these terms.
Intellectual property and copyright
BuyerPass, including its software, design, and brand, is protected by intellectual-property rights and remains the property of BuyerPass LLCand its licensors. These terms do not grant you any right in BuyerPass's intellectual property except the limited right to use the platform as permitted here.
If you believe content on BuyerPass infringes your copyright or other intellectual-property rights, contact us at legal@buyerpass.com with enough detail to identify the work, the allegedly infringing material and its location, your contact information, and a statement of your good-faith belief and authority. We will review and respond to valid notices, and may remove content and, where appropriate, restrict repeat infringers.
Governing law and dispute resolution
These terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws rules.
Binding individual arbitration. Except for the carve-out below, you and BuyerPass LLC agree to resolve any dispute arising out of or relating to these terms or the platform through binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be seated in Atlanta, Georgia, and judgment on the award may be entered in any court of competent jurisdiction. The arbitrator decides the dispute on an individual basis.
Class-action waiver.Disputes will be conducted only on an individual basis and not as a class, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims or preside over any form of a class or representative proceeding.
Small-claims carve-out. Either party may instead bring an individual claim in a small-claims court with jurisdiction, and either party may seek injunctive or equitable relief in court to protect its intellectual property or address unauthorized access to the service.
To the extent a dispute proceeds in court rather than arbitration, you and BuyerPass LLC consent to the exclusive jurisdiction and venue of the state and federal courts located in Fulton County, Georgia.
Suspension and termination
You may stop using BuyerPass and request account deletion at any time; account deletion is handled as described in our Privacy Policy. We may suspend or terminate access if you violate these terms, create risk for other users, or where required by law. Provisions that by their nature should survive termination will survive, including content license terms for retained copies, disclaimers, limitation of liability, indemnification, and dispute resolution.
Changes to these terms
We may update these terms from time to time. When we do, we will revise the date at the top of this page and, where appropriate, notify you. Continued use after changes take effect constitutes acceptance.
