These terms govern your access to and use of BuyerPass. By creating a BuyerPass or using the platform, you agree to these terms.

This page is provided for general information and transparency. It is not legal advice. Sections marked in the highlighted style below are still being finalized with counsel before launch.

Acceptance of these terms

By accessing or using BuyerPass, you agree to be bound by these Terms of Service. If you are using BuyerPass on behalf of an organization, you represent that you have authority to bind that organization.

What BuyerPass provides

BuyerPass provides Proof of Funds Verification for business acquisitions. Buyers complete verification when a deal owner requests it, and a recent verification may be reused when permitted by the applicable opportunity and current product rules. Brokers and sellers receive a limited confirmation that a buyer meets a requirement, rather than the buyer's underlying account details.

BuyerPass confirms financial capacity. It does not provide financial, legal, or investment advice, and it does not guarantee that any transaction will close.

Accounts and eligibility

  • You must provide accurate information and keep your account secure.
  • You are responsible for activity that occurs under your account.
  • You must be legally able to enter into these terms and use the service for legitimate acquisition activity.

Verification and Plaid

Verification is completed by connecting financial accounts through Plaid. You authorize BuyerPass and Plaid to access balance information solely to produce a verification outcome. A completed verification has a limited validity period, after which you re-verify to keep your BuyerPass current.

You are responsible for the accuracy of the accounts you connect. Presenting a BuyerPass you know to be inaccurate or misleading is a violation of these terms.

Acceptable use

You agree not to:

  • Misrepresent your identity, financial capacity, or acquisition intent.
  • Attempt to access another user's data or circumvent the Unveil process.
  • Use the platform for any unlawful purpose or in violation of these terms.
  • Interfere with or disrupt the integrity or performance of the service.

Plans and billing

BuyerPass offers a free Starter plan and paid plans with higher verification and Unveil allowances. Paid plans are billed on a recurring basis, and additional completed verifications beyond your plan allowance are billed at your plan's per-verification rate. To be finalized before launch: Finalize billing specifics: billing cycle and proration, taxes, payment processor terms, refund/cancellation policy, and how overage charges are invoiced.

Disclaimers

BuyerPass verifies financial capacity based on the information available at the time of verification. It does not guarantee the outcome of any negotiation or transaction, and verified status is not an endorsement of any party.

Limitation of liability

To be finalized before launch: Insert limitation-of-liability and indemnification provisions, including any liability cap, reviewed by your attorney.

Termination

You may stop using BuyerPass and request account deletion at any time. We may suspend or terminate access if you violate these terms or use the service in a way that creates risk for other users.

Changes to these terms

We may update these terms from time to time. When we do, we will revise the date at the top of this page and, where appropriate, notify you. Continued use after changes take effect constitutes acceptance.
