Acceptance of these terms
BuyerPass is operated by BuyerPass LLC. By accessing or using BuyerPass, you agree to be bound by these Terms of Service. If you are using BuyerPass on behalf of an organization, you represent that you have authority to bind that organization.
To be finalized before launch: Confirm the full legal entity details (registered address and any related entities) and how notices under these terms may be served.
What BuyerPass provides
BuyerPass is a technology platform. It does not act as a party to a transaction, negotiate a transaction, or guarantee that any transaction, financing arrangement, or other outcome will occur.
The platform supports:
- BuyerPass Profiles and Acquisition Criteria for acquisition buyers.
- Opportunity matching, interest management, and Unveils.
- Opportunity-specific invitations from deal owners.
- Proof of Funds Verification, completed when a deal owner requests financial readiness for a specific opportunity.
BuyerPass does not provide financial, legal, or investment advice.
Accounts and eligibility
- You must provide accurate information and keep your account secure.
- You are responsible for activity that occurs under your account.
- You must be legally able to enter into these terms and use the service for legitimate acquisition activity.
Your content and listings
You are responsible for the listings, profiles, Acquisition Criteria, messages, and other content you submit, and for having the rights needed to submit it. Content must be accurate and not misleading. Deal owners are responsible for the opportunities and listing details they publish.
Verification and Plaid
Proof of Funds Verification indicates whether a buyer met an opportunity's stated requirement at a point in time based on available information. It is not loan approval, investment advice, a valuation, or a guarantee of financing or transaction completion.
Verification is completed by connecting financial accounts through Plaid, and may also involve reviewing supplemental documentation you choose to provide. You authorize BuyerPass and Plaid to access balance information solely to produce a verification outcome. A completed verification reflects a point in time and shows a freshness indicator, and a deal owner may request a more recent verification for their opportunity.
You are responsible for the accuracy of the accounts you connect. Presenting a BuyerPass Profile you know to be inaccurate or misleading is a violation of these terms.
Invitations and anti-spam
Invitations are opportunity-specific and are not a general marketing channel. If you invite someone to a specific opportunity, you represent that you are authorized to contact that recipient, that the invitation relates to that opportunity, and that you will comply with applicable anti-spam and marketing laws. BuyerPass may limit, suspend, or remove invitation access if invitations are used for unsolicited or unauthorized outreach.
Acceptable use
You agree not to:
- Misrepresent your identity, financial capacity, or acquisition intent.
- Import or invite contacts you are not authorized to contact, or send unsolicited bulk messages.
- Attempt to access another user's data or circumvent the Unveil process or other platform controls.
- Share your account or allow others to use your credentials.
- Use the platform for any unlawful purpose or in violation of these terms.
- Interfere with or disrupt the integrity or performance of the service.
Plans and billing
Acquisition buyers use BuyerPass for free. Paid plans apply to deal owners and offer higher verification and Unveil allowances. Paid plans are billed on a recurring basis, and additional completed verifications beyond your plan allowance are billed at your plan's per-verification rate. See the Pricing page for current plans and rates.
Only completed Proof of Funds Verifications count toward your monthly allowance. Sending an opportunity invitation does not consume verification capacity.
To be finalized before launch: Finalize billing specifics: billing cycle and proration, taxes, payment processor terms, refund/cancellation policy, and how overage charges are invoiced.
Third-party services
BuyerPass relies on third-party services, such as Plaid for financial-account connections, to provide the platform. Your use of those services may also be governed by the third party's own terms and privacy notices. BuyerPass is not responsible for third-party services it does not control.
Disclaimers
BuyerPass produces a Proof of Funds Verification outcome based on the information available at the time of verification. It does not guarantee the outcome of any negotiation or transaction, and a verification outcome is not an endorsement of any party.

Limitation of liability and indemnification
To be finalized before launch: Insert limitation-of-liability and indemnification provisions, including any liability cap, reviewed by your attorney.
Intellectual property and copyright
BuyerPass and its content are protected by intellectual-property rights. You retain rights in the content you submit and grant BuyerPass the permissions needed to operate the platform.
To be finalized before launch: Add the formal intellectual-property license terms and a copyright-complaint (notice-and-takedown) process, including a designated agent, reviewed by your attorney.
Governing law and disputes
To be finalized before launch: Add governing law, jurisdiction and venue, dispute-resolution (for example, arbitration and class-action waiver), and any formal procedure for exercising privacy rights, reviewed by your attorney.
Suspension and termination
You may stop using BuyerPass and request account deletion at any time. We may suspend or terminate access if you violate these terms or use the service in a way that creates risk for other users.
Changes to these terms
We may update these terms from time to time. When we do, we will revise the date at the top of this page and, where appropriate, notify you. Continued use after changes take effect constitutes acceptance.
